Shareholders of JSC Rubicon Wireless Communication, operating under the Perfectum brand, have approved the sale of the company's real estate and fixed assets worth 98.4 billion soums including VAT to businessman Oybek Tursunov. The decision was disclosed on the Single Corporate Information Portal.

The deal was approved by an extraordinary general meeting of shareholders on October 16. Two purchase and sale agreements will be concluded. Most of the amount, 65.97 billion soums, accounts for a complex in the Mirabad district of Tashkent at 21 Taras Shevchenko Street, which houses the operator's head office: four buildings with a total area of 10,479 square meters (usable area — 8,677 square meters) on a plot of 7,283 square meters, with 57 premises inside, including 47 office spaces. Another 32.41 billion soums will be the price for 2,012 units of fixed assets. The document provides no separate valuation for the buildings and land.

All 572.39 million voting shares represented at the meeting voted in favor of the decision. Shareholders who opposed or missed the vote for a valid reason are entitled to demand the buyout of their shares within 30 days. The Supervisory Board recommended a price of 1,000 soums per ordinary share.

Three days after the meeting, on October 19, VEON Group, which owns Beeline Uzbekistan, announced the signing of an agreement to acquire 100% of shares in Rubicon Wireless Communication through VEON UZB Holding Ltd. The deal is valued at approximately $207 million, including Perfectum's debt of about $93 million. The sale of property to Tursunov and the transfer of shares to VEON are being executed separately. Shareholders also approved a new supervisory board of five executives from Unitel, operating under the Beeline brand; their powers will begin from the date of submission of share applications and will last three years.

The Competition Committee approved the purchase (according to Podrobno.uz, preliminarily): the operator must remain independent for at least three years, and existing 5G FWA tariffs must be maintained for 12 months.
